These Terms of Use ("Terms") govern your access to and use of the website, platform, trial offerings, subscriptions, products, communications, and services offered by StateSimplify LLC d/b/a SAMstream ("SAMstream," "we," "us," or "our"). By accessing or using SAMstream, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use SAMstream.
1. Acceptance of Terms
By accessing, registering for, starting a trial of, or using SAMstream, you acknowledge that you have read, understood, and agree to these Terms. If you are using SAMstream on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
SAMstream provides tools and services designed to support government contracting workflows. Depending on the plan, release stage, and features available at the time of use, SAMstream may provide:
- AI-powered contract search across federal, state, and local opportunities
- Historical contract and award research, including archive data dating back to 1970
- Opportunity tracking and notification tools
- NAICS and PSC search features
- AI-assisted document and bid packet generation, including cover letters, capability statements, and technical proposals
- Account, onboarding, customer support, education, and training assistance

3. Eligibility and Account Responsibilities
You may use SAMstream only in compliance with applicable law and these Terms. You are responsible for:
- Providing accurate, current, and complete information
- Maintaining the confidentiality of your login credentials
- All activity that occurs through your account
- Reviewing and validating all content, searches, and documents generated or assisted by SAMstream before relying on or using them
- Ensuring that your use of SAMstream complies with procurement rules, customer requirements, and all other applicable laws and regulations
4. SMS Messaging Terms
SAMstream offers low-volume, one-to-one conversational SMS communications through Microsoft Teams SMS. SMS-enabled numbers are assigned to individual SAMstream employees and are used only for direct human conversations with current or prospective customers who have opted in. These messages are not used for marketing, promotional campaigns, bulk messaging, or API-driven automated alerts.
StateSimplify LLC d/b/a SAMstream collects SMS opt-in verbally over the phone and during live one-to-one registration, onboarding, and support conversations. When a customer is registered for the first time or asks to continue a conversation by text, the customer is asked to provide a mobile phone number and is separately asked whether they would like to opt in to receive one-to-one conversational SMS-based follow-up messages from SAMstream related to customer support, account assistance, onboarding assistance, requested follow-up, and active service issues. SMS consent is optional and is not a condition of purchase or use of the service. Customers are verbally informed that "Message and data rates may apply," "Message frequency may vary," and that they can "reply HELP for support or more information and STOP to unsubscribe at any time." Customers are also informed that mobile opt-in information will not be shared with third parties for marketing or promotional purposes.

SMS Privacy

5. Acceptable Use
You agree not to:
- Use SAMstream for unlawful, fraudulent, deceptive, or unauthorized purposes
- Misrepresent your identity or your organization
- Attempt to gain unauthorized access to accounts, systems, or data
- Interfere with or disrupt the website, platform, or related services
- Upload or transmit malware, malicious code, or harmful material
- Use SAMstream in a way that infringes intellectual property, privacy, or other rights
- Use outputs from SAMstream without appropriate human review and verification
6. AI-Assisted Content and User Responsibility
You are solely responsible for reviewing, editing, validating, and approving all search results, generated drafts, bid materials, and other outputs before relying on them, sharing them, or submitting them to any customer, agency, or third party.
7. Intellectual Property Rights
Our Rights
SAMstream and its website, software, branding, text, graphics, workflows, and other content and functionality are owned by or licensed to us and are protected by applicable intellectual property laws.
Your Rights
You retain ownership of the information, documents, and materials you provide to SAMstream. You grant us a limited, non-exclusive license to host, process, transmit, and use that information as necessary to provide, secure, maintain, and improve the services.
8. Trials, Subscriptions, and Payments
SAMstream may offer free trials, paid subscriptions, or other promotional access from time to time. Any applicable pricing, billing terms, renewal terms, and cancellation terms presented to you at signup, checkout, or in an order form will govern your purchase.
We may change pricing, plans, features, or trial availability at any time, subject to applicable law and any specific commitments made to you in writing.
9. Privacy and Data
Your use of SAMstream is also governed by our Privacy Policy, which describes how we collect, use, disclose, and protect your information.
10. Service Availability and Changes
We may modify, suspend, discontinue, or update any part of SAMstream at any time, with or without notice. We do not guarantee that SAMstream will always be available, uninterrupted, error-free, or compatible with every device, browser, or workflow.
11. Disclaimer of Warranties
SAMstream is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, title, and non-infringement.
12. Limitation of Liability
To the maximum extent permitted by law, StateSimplify LLC d/b/a SAMstream shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, or other intangible losses arising out of or related to your use of SAMstream.
13. Indemnification
You agree to defend, indemnify, and hold harmless StateSimplify LLC d/b/a SAMstream and its officers, members, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of SAMstream, your content, or your violation of these Terms or applicable law.
14. Termination
We may suspend or terminate your access to SAMstream at any time if we believe you have violated these Terms, created risk for us or others, or used the services in a prohibited manner. Upon termination, provisions that by their nature should survive termination will remain in effect.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Oregon, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of SAMstream shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where applicable law requires otherwise.
16. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised version on this page and update the "Last Updated" date above. Your continued use of SAMstream after the effective date of revised Terms constitutes your acceptance of the updated Terms.
17. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
